Where are you downloading XP from? The only legitimate place to download XP
is from MS with a MSDN subscription. If this is not the case, I would
presume this is where your problem starts.

Many unsophisticated users get confused between the meanings of the
terms "download" and "install".
I think that in this instance the o.p. meant install.

The following is an excerpt from MVP Jim Eshelman's web page for STOP
errors at http://www.aumha.org/win5/kbestop.htm
0x0000007E: SYSTEM_THREAD_EXCEPTION_NOT_HANDLED
A system thread generated an exception which the error handler did not
catch. There are numerous individual causes for this problem,
including hardware incompatibility, a faulty device driver or system
service, or some software issues. Check Event Viewer (EventVwr.msc)
for additional information.
As for installing SP2 if you have enountered difficulties with
downloading it you might want to try:
1. Get the complete SP2 on CD. Your local computer stores might have
it (it was distributed free by Microsoft but the stores may have run
out of copies) or you can order it from
http://www.microsoft.com/windowsxp/downloads/updates/sp2/cdorder/en_us/default.mspx
2. Before installing SP2 go through the checklist and procedures at
http://www3.telus.net/dandemar/spackins.htm
Good luck
